KEY FUNCTION

Ensure that the Board of Directors (BOD) and its Committees can fulfill their duties in an effective manner. Provide advice and executive support to the President and Chief Executive Officer (CEO), Chief of Staff (COS) and governance support to the BOD, all committees of the Board and their Chairs. Ensure that governance practices are sound and consistent with the organization’s policies and applicable legislation and regulations.

 

REPORTING    

Under the general direction of the Vice President, People and Culture.

 

DUTIES:

  1. Serve the interests of the BOD in matters pertaining to governance with an understanding of stakeholder and organizational needs and relationships.
  2. Ensure that the BOD Chair and BOD Committee Chairs receive timely, succinct and relevant information from the CEO and the COS (or designates) to perform their duties effectively.
  3. Ensure that the CEO, the COS, and members of the Senior Leadership Team are aware of concerns that the Board Chair or Committee Chairs may have, and vice versa.
  4. Ensure that an annual plan of agenda items for the BOD and Committee meetings is in place and updated.
  5. Design and coordinate recruitment, onboarding and continuing education for BOD members; coordinate BOD involvement in the Accreditation Canada process; and support governance quality and process improvement initiatives.
  6. Advise the BOD on legislative and By-Law requirements, and assess the level of risk on decision-making.
  7. Provide advice on changes to Administrative and Professional Staff By-Laws based on legislation, and obtain legal opinion as required.
  8. Provide advice on requirements for closed versus open (i.e., public) meetings.
  9. Provide governance leadership and expertise to the BOD, its Committees and Senior Leadership.
  10. Facilitate effective triaging of information and issues on matters pertaining to the BOD and its committees (i.e. determine appropriate action/response, including identifying matters for escalation and redirection).
  11. Liaise with internal and external officials on behalf of the BOD and Committees to coordinate, prepare or execute follow-up on action items, key deliverables, directives, reports, motions, and other requirements of the BOD.
  12. Manage the Board Office budget development, ensuring information is current and accurately compiled, monitor expenditures, ensure that invoices are authorized, analyse and report variances.
  13. Develop and draft briefing notes, reports, correspondence, memos and corporate material, and ensure all meeting materials are aligned with established procedures for the BOD; consult with the Executive Resource person for the various BOD Committees to ensure that the expectations of the BOD are met.
  14. Ensure that the CEO is briefed on all issues and meetings, and prepare and ensure that the necessary briefing materials are provided to the CEO.
  15. Utilize project management and event planning expertise in the coordination of, participation in, and leading committees or special initiatives and events as required.
  16. Provide executive support to the Board Chair, BOD, COS and CEO to ensure the efficient administration and operation of the BOD and its committees(e.g., meeting agendas and minutes, work plans, maintaining records, documents, expense reports, preparing presentations and policies) as required.
  17. In collaboration with the Board Chair, COS and the CEO, organize the Annual General Meeting, Board Plenary and education sessions, annual orientation sessions and other Board events as required.
  18. Determine and align improvement projects with HSN’s Strategic Plan; monitor and adjust to achieve goal outcomes.
  19. Participate in education and training specific to current, relevant federal and provincial health and safety legislation, standards and guidelines.
  20. Educate and promote health, safety and wellness in the work place.
  21. Represent the department or program on various committees and in meetings as required.
  22. Perform other duties as assigned.

 

QUALIFICATIONS

EDUCATION AND TRAINING: 

  1. Minimum of a four (4) year Bachelor’s Degree in Public Administration or related field (e.g. Law, Political Science, etc.), from an accredited university.
  2. Ministry of Labour “Worker Health and Safety Awareness in 4 Steps” training certificate is required.

 

EXPERIENCE: 

  1. Minimum of five (5) years’ experience at a senior executive support level working within a health care or public / broader public sector environment.

 

KNOWLEDGE/SKILLS/ABILITIES: 

  1. Demonstrated significant governance knowledge and expertise to support the BOD in a not-for-profit organization. 
  2. Demonstrated knowledge of all legislation as it relates to the Hospital’s BOD and thorough understanding of By-Laws (including Professional Staff By-Laws), policies, formal meeting procedures and governance.
  3. Demonstrated knowledge in governance models and practices.
  4. Demonstrated knowledge of rules of procedure and legislative protocols.
  5. Demonstrated ability to manage conflict, mediate disputes, and assist in reaching consensus.
  6. Demonstrated critical thinking, organization and time management skills.
  7. Demonstrated training, experience or utilization of quality improvement methodology for process improvement.
  8. Demonstrated ability to independently identify issues, plan improvements, measure success and continue improvement.
  9. Demonstrated excellent computer skills with proficiency in Microsoft Office software (e.g. Word, Excel, Power Point and Outlook).
  10. Demonstrated superior interpersonal and communication skills, both written and verbal.
  11. Demonstrated ability to manage routine correspondence, multiple tasks/projects, diversified workload and rapidly changing priorities and challenging deadlines.
  12. Demonstrated discretion and maturity when handling confidential information.
  13. Demonstrated commitment to the safety of co-workers and patients.
